Welcome to RedactorFlow. By downloading, installing, or using the RedactorFlow desktop application ("the Software"), you agree to be bound by these Terms and Conditions ("Terms"). Please read these Terms carefully before using the Software. If you do not agree to these Terms, do not download, install, or use the Software.

License grant

Subscription-based license for personal or business use. Non-transferable and non-exclusive.

Your responsibility

You are responsible for ensuring redactions meet your compliance requirements and reviewing output.

No warranty

Software provided "as-is" without warranties. We do not guarantee perfect PII detection.

Limitation of liability

We are not liable for data breaches or compliance violations resulting from use of the Software.

1. Acceptance of terms

By accessing or using RedactorFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Matren Limited ("we," "us," or "our"), the company that provides and sells the RedactorFlow software.

If you are using the Software on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you individually and the organization.

2. License grant

2.1 Subscription license

Subject to your compliance with these Terms and payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the RedactorFlow desktop application for your personal or internal business purposes during the active subscription period.

2.2 License restrictions

You may not:

  • Modify, adapt, translate, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code
  • Rent, lease, sublicense, sell, or otherwise transfer the Software to third parties
  • Remove, alter, or obscure any proprietary notices on the Software
  • Use the Software in any way that violates applicable laws or regulations
  • Use the Software to process documents you do not have the legal right to process
  • Share your license key or subscription with unauthorized users
  • Use the Software to provide document processing services to third parties without our written consent

2.3 Trial license

We may offer a limited trial period with reduced functionality. Trial licenses are subject to additional restrictions and may expire after a specified period or number of documents processed. Trial users have no guarantee of service continuity and must upgrade to a paid subscription for continued access.

3. Subscription and payment

3.1 Subscription plans

RedactorFlow offers monthly and annual subscription plans. Pricing and plan features are displayed on our website and are subject to change with notice. All payments are processed securely by Paddle, our third-party payment provider.

3.2 Automatic renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You will be charged the then-current subscription rate. We will notify you of any price changes at least 30 days in advance.

3.3 Cancellation and refunds

You may cancel your subscription at any time through Paddle's customer portal. Cancellations take effect at the end of your current billing period—you will retain access until then. We do not offer refunds for partial subscription periods, except as required by applicable law or at our sole discretion.

3.4 Taxes

All fees are exclusive of applicable taxes (including VAT, GST, sales tax, etc.). You are responsible for paying all taxes associated with your subscription. Paddle will collect applicable taxes as required by law.

3.5 Payment failures

If payment fails, we may suspend or terminate your access to the Software. We will make reasonable efforts to notify you and allow you to update payment information. You remain responsible for any outstanding fees.

4. User responsibilities

4.1 Document accuracy and review

You are solely responsible for reviewing and verifying all redactions before using or sharing redacted documents. RedactorFlow uses automated algorithms to detect personally identifiable information (PII), but no automated system is perfect. You must:

  • Carefully review all detected items and redaction previews
  • Manually verify that all sensitive information is properly redacted
  • Ensure redacted documents meet your legal and compliance requirements
  • Test output documents to confirm redactions are permanent and cannot be reversed

We do not guarantee 100% accuracy in PII detection. You acknowledge that the Software may miss sensitive information or flag non-sensitive information, and you accept full responsibility for the final output.

4.2 Compliance with laws

You are responsible for ensuring your use of RedactorFlow complies with all applicable laws and regulations, including GDPR, CCPA, HIPAA, and any other data protection or privacy laws in your jurisdiction. We provide tools to assist with compliance, but ultimate compliance responsibility rests with you.

4.3 Authorized use only

You represent and warrant that you have the legal right to process all documents you upload to or process with RedactorFlow. You agree not to use the Software to process documents that:

  • Belong to others without proper authorization
  • Contain illegal content or violate third-party rights
  • Are classified, protected by attorney-client privilege, or otherwise restricted from processing

4.4 Security and confidentiality

While RedactorFlow processes all documents locally on your machine, you are responsible for:

  • Maintaining the security of your computer and stored documents
  • Protecting your subscription credentials and license information
  • Ensuring proper disposal or deletion of redacted and original documents
  • Implementing appropriate organizational security policies

5. Intellectual property rights

5.1 Ownership

The RedactorFlow software and all intellectual property rights in the Software (including but not limited to source code, algorithms, designs, trademarks, and documentation) are and remain the exclusive property of Matren Limited and its licensors. These Terms do not grant you any ownership rights in the Software.

5.2 Your documents

You retain all ownership rights to documents you process with RedactorFlow. We do not claim any ownership over your documents or their content. As stated in our Privacy Policy, all document processing happens locally on your machine, and we do not receive or store your documents.

5.3 Feedback

If you provide suggestions, feedback, or ideas about the Software ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into our products and services without compensation or attribution.

6. Disclaimer of warranties

Important disclaimer:

The software is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We specifically disclaim any warranties regarding:

  • The accuracy or completeness of PII detection and redaction
  • Uninterrupted, error-free, or secure operation of the software
  • Compatibility with all hardware, operating systems, or PDF formats
  • Compliance with specific regulatory requirements (GDPR, HIPAA, etc.)
  • The absence of viruses, bugs, or other harmful components

You acknowledge that:

  • No automated redaction tool can guarantee 100% accuracy
  • Manual review of all redactions is essential
  • You use the software at your own risk
  • We are not liable for missed detections or false positives

7. Limitation of liability

Limitation of liability:

To the maximum extent permitted by applicable law, in no event shall Matren Limited be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the software, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

7.1 Maximum liability cap

Our total aggregate liability to you for all claims arising from or related to the software shall not exceed the amount you paid us in subscription fees during the twelve (12) months immediately preceding the claim.

7.2 Specific exclusions

We are not liable for:

  • Data breaches or privacy violations resulting from inadequate redaction
  • Regulatory fines or penalties (GDPR, CCPA, HIPAA, etc.)
  • Loss or corruption of documents or data
  • Reputational harm or business losses
  • Third-party claims arising from your use of the software
  • Failure to meet your organization's internal policies or external compliance requirements

7.3 Essential purpose

These limitations apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Matren Limited, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Software
  • Your violation of these Terms
  • Your violation of any laws, regulations, or third-party rights
  • Data breaches or privacy violations resulting from your use of redacted documents
  • Unauthorized access to your documents or device
  • Claims that your use of the Software infringed third-party intellectual property rights

9. Term and termination

9.1 Term

These Terms commence when you first download or use the Software and continue until terminated in accordance with this section.

9.2 Termination by you

You may terminate these Terms at any time by canceling your subscription and uninstalling the Software from all devices.

9.3 Termination by us

We may suspend or terminate your access to the Software immediately, without notice, if:

  • You violate these Terms
  • Your payment fails or your subscription expires
  • We reasonably believe your use violates applicable laws
  • We discontinue the Software (with reasonable notice)

9.4 Effect of termination

Upon termination:

  • Your license to use the Software immediately terminates
  • You must cease all use and uninstall the Software from all devices
  • Documents stored locally on your computer remain your responsibility
  • No refunds will be provided for unused subscription time (except as required by law)
  • Sections that by their nature should survive (including warranties, liability limitations, and indemnification) will continue to apply

10. Updates and modifications

10.1 Software updates

We may release updates, patches, or new versions of the Software from time to time. Updates may be automatically downloaded and installed, or you may need to manually download them. Continued use of the Software after updates constitutes acceptance of the updated Software.

10.2 Changes to terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending an email notification (if you have provided an email address)
  • Displaying a notice in the Software

Your continued use of the Software after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Software and cancel your subscription.

11. General provisions

11.1 Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Matren Limited is registered, without regard to its conflict of law principles.

11.2 Dispute resolution

Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority, except that either party may seek injunctive relief in court. You waive any right to participate in a class action or class-wide arbitration.

11.3 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Matren Limited regarding the Software and supersede all prior agreements and understandings.

11.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

11.5 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

11.6 Assignment

You may not assign or transfer these Terms or your license without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

11.7 Force majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.
